These Terms & Conditions (“Terms”) govern your access to and use of lanuit.me (the “Website”) and purchases made from LA NUIT.

LA NUIT is operated by WAVE MANAGEMENT-FZCO, a company licensed in the United Arab Emirates, with its registered office at:

Throughout these Terms, “LA NUIT”, “we”, “us” and “our” refer to WAVE MANAGEMENT-FZCO operating the LA NUIT brand.

Please read these Terms carefully before using the Website or placing an order.

Nothing in these Terms is intended to exclude, restrict or reduce any consumer right or remedy that cannot lawfully be excluded under applicable United Arab Emirates law. Where these Terms conflict with a mandatory legal requirement, that requirement will prevail.

1. ACCEPTANCE OF TERMS

By accessing the Website, creating an account or placing an order, you confirm that you have read, understood and agreed to these Terms together with our:

• Returns, Refunds & Exchanges Policy;

• Privacy Policy;

• applicable delivery information; and

• any product-specific instructions, warnings, specifications or additional conditions displayed on the Website.

If you do not agree with these Terms, please do not use the Website or place an order.

2. AGE AND ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding contract to purchase products from LA NUIT.

By placing an order, you confirm that:

• you are at least 18 years old;

• the information supplied by you is accurate and complete;

• you are authorised to use your selected payment method; and

• your purchase is for lawful purposes.

We reserve the right to refuse or cancel an order where we reasonably believe these requirements have not been satisfied.

3. PRODUCTS AND AVAILABILITY

LA NUIT offers personal-care, wellness, massage, beauty, home-fragrance, accessories and related lifestyle products.

We take reasonable care to ensure that product descriptions, specifications, images and other information displayed on the Website are accurate.

Product information on the Website does not replace any instructions, precautions, warnings or documentation supplied with a product.

All products are subject to availability.

Displaying a product on the Website does not guarantee that it will remain available until your order has been accepted.

Certain LA NUIT products are personal-use or hygiene-sensitive products. Special conditions therefore apply to change-of-mind returns once these products have been opened, unsealed or used.

4. PRODUCT IMAGES, COLOURS AND VARIATIONS

We make reasonable efforts to display products accurately.

Actual colours, textures, finishes or packaging may vary slightly because of photography, lighting, screen settings, manufacturing tolerances or reasonable packaging updates.

Minor variations that do not materially affect a product's nature, function or quality will not normally constitute a defect.

This does not affect your rights where a product is genuinely damaged, defective, unsafe, incorrect or materially different from what was ordered.

5. PRICES AND CHARGES

Prices on the Website are displayed in United Arab Emirates Dirhams (AED) unless otherwise indicated.

Any applicable delivery or other charges will be displayed during checkout before you confirm your order.

We may change prices at any time. Price changes will not normally affect orders that have already been accepted.

Pricing Errors

Despite reasonable precautions, pricing, product-description or technical errors may occasionally occur.

Where a price is obviously incorrect and could reasonably have been recognised as an error, LA NUIT may cancel the affected order to the extent permitted by applicable law.

If payment has already been received for an order that we cancel, the appropriate amount will be refunded.

Where reasonably possible, we may offer you the opportunity to place a new order at the correct price.

6. ORDERS AND ACCEPTANCE

Placing an order through the Website constitutes an offer by you to purchase the selected products.

An automated order confirmation acknowledges that we have received your order. It does not necessarily mean that your order has been finally accepted.

A binding purchase contract is formed when LA NUIT expressly accepts your order or dispatches it, whichever occurs first.

We may contact you before accepting an order to verify payment, identity, delivery or other relevant information.

Following a successful purchase, an electronic order confirmation, invoice and/or transaction record may be provided electronically.

7. RIGHT TO REFUSE OR CANCEL AN ORDER

To the extent permitted by applicable law, LA NUIT may refuse, suspend or cancel an order where:

• a product is unavailable or out of stock;

• an obvious pricing, description or technical error has occurred;

• payment is declined, reversed, unauthorised or cannot be verified;

• fraud or unauthorised activity is reasonably suspected;

• a promotional code or offer has been misused;

• delivery information is incomplete, inaccurate or cannot reasonably be verified;

• the order appears to involve unlawful or unauthorised resale; or

• another legitimate legal, regulatory, security or operational reason exists.

If LA NUIT cancels a paid order, any amount properly due to you for the cancelled products will be refunded.

8. CUSTOMER ORDER CANCELLATIONS

If you wish to cancel an order, contact info@lanuit.me as soon as possible.

We cannot guarantee cancellation after processing, fulfilment or dispatch has begun.

Where an order has already been dispatched, it may need to be handled in accordance with our Returns, Refunds & Exchanges Policy.

Nothing in this section removes any cancellation right that is mandatory under applicable UAE law.

9. PAYMENT

Payment must be made using one of the payment methods available at checkout.

By submitting payment information, you confirm that you are authorised to use the selected payment method.

Payments may be processed by independent third-party payment providers.

LA NUIT does not necessarily receive or store complete payment-card credentials.

An order may be suspended or cancelled if payment is declined, reversed, disputed or identified as potentially fraudulent or unauthorised.

10. SECURITY AND FRAUD PREVENTION

We may perform reasonable payment, identity, delivery and fraud-prevention checks directly or through our service providers.

We may request additional information where reasonably necessary to verify a transaction.

If sufficient information cannot be provided, we may refuse or cancel the transaction to the extent permitted by law.

LA NUIT may also investigate suspected abuse of promotions, customer accounts, refunds, returns or chargebacks.

11. DELIVERY

Products will be delivered to the address supplied by the customer during checkout.

Delivery dates and times displayed by LA NUIT or a delivery provider are estimates unless expressly guaranteed.

Customers are responsible for providing a complete and accurate delivery address and reachable contact details.

Please check your delivery information carefully before completing your order.

Where delivery fails because information supplied by the customer was inaccurate or incomplete, the customer was unavailable after reasonable delivery attempts, or delivery was refused without a valid product-related reason, reasonable additional costs may apply where permitted by law.

Detailed delivery areas, estimated delivery times and applicable charges may be displayed separately on the Website and/or during checkout.

12. RISK AND OWNERSHIP

Risk in a product generally passes to you when it is delivered to the delivery address supplied by you or to a person authorised by you to receive the parcel.

Ownership passes once full payment has been received, subject to applicable law.

Nothing in this section affects your rights relating to products delivered damaged, defective, unsafe, incorrect or materially non-conforming.

13. RETURNS, REFUNDS AND EXCHANGES

Our Returns, Refunds & Exchanges Policy forms part of these Terms.

Because certain LA NUIT products are personal-use or hygiene-sensitive products, change-of-mind returns or exchanges may be refused once a product has been opened, unsealed or used.

This restriction does not remove mandatory rights concerning products that are genuinely:

• damaged;

• defective;

• unsafe;

• incorrect;

• incomplete; or

• materially non-conforming.

14. WARRANTY AND DEFECTIVE PRODUCTS

LA NUIT stands behind products to the extent required by applicable law and any product-specific warranty expressly provided at the time of purchase.

Please provide your order number and a description of the issue.

Photographs, video or other reasonable evidence may be requested where necessary to assess the issue.

Depending on the circumstances, applicable law and any applicable product warranty, an appropriate remedy may include:

• inspection;

• repair where appropriate;

• replacement;

• exchange;

• refund; or

• another remedy required by applicable law.

Warranty and Defect Exclusions

Unless otherwise required by law, warranty or manufacturing-defect coverage will not normally apply to damage caused by:

• misuse;

• accidental damage after delivery;

• failure to follow product instructions;

• improper charging;

• incompatible electrical equipment;

• improper cleaning;

• improper storage;

• unauthorised modification or repair;

• liquid exposure inconsistent with the product's specifications;

• normal wear and tear; or

• circumstances unrelated to the product's original condition.

Any product-specific warranty period or additional warranty conditions should be stated on the relevant product page, packaging or accompanying documentation.

Nothing in this section limits mandatory UAE consumer rights.

15. PRODUCT SAFETY AND USE

Customers must carefully read and follow all product instructions, warnings, precautions, charging instructions, cleaning directions and storage requirements.

Products should only be used for their intended purpose.

Where applicable, customers should observe external-use, sensitivity, allergy and other product-specific warnings.

Immediately stop using a product if it appears damaged, defective, unusually hot, unsafe or otherwise unsuitable for continued use.

Nothing in this section removes or reduces mandatory rights relating to defective or unsafe products.

16. PROMOTIONS, DISCOUNTS, BUNDLES AND GIFTS

Promotions, discounts, bundles, gifts and promotional codes may be subject to additional conditions.

These may include:

• expiry dates;

• eligible products;

• minimum purchase requirements;

• usage limits; and

• customer eligibility.

Unless expressly stated otherwise, promotional codes:

• cannot be exchanged for cash;

• cannot normally be applied retrospectively; and

• may not be combined with another promotion.

Refunds relating to discounted products will generally reflect the amount actually paid for the relevant product.

Where a free gift was supplied because of a qualifying purchase, LA NUIT may require the gift to be returned if the qualifying purchase is returned, where permitted by law.

17. CUSTOMER ACCOUNTS

Customers may be able to create an account through the Website.

You are responsible for maintaining the confidentiality and security of your login credentials.

LA NUIT may suspend or terminate accounts involved in fraud, abuse or material violations of these Terms, subject to applicable law.

18. PROHIBITED WEBSITE USE

You must not:

• use the Website for unlawful or fraudulent purposes;

• interfere with its security, functionality or availability;

• attempt unauthorised access to systems, accounts or data;

• transmit malicious software or code;

• unlawfully scrape or systematically extract Website information;

• impersonate another person;

• misuse promotional offers, payment systems, chargebacks or returns; or

• infringe the rights of LA NUIT or any third party.

19. INTELLECTUAL PROPERTY

The LA NUIT name, logos, branding, product names, product designs, Website design, photographs, graphics, text, layouts and other original materials are owned by or licensed to LA NUIT and are protected by applicable intellectual-property laws.

You may not copy, reproduce, modify, distribute, publish, sell, commercially exploit or otherwise use such materials without our prior written permission, except where permitted by applicable law.

20. REVIEWS AND USER-GENERATED CONTENT

Reviews should reflect genuine customer experiences.

Customers must not submit content that is knowingly false, unlawful, fraudulent, abusive, defamatory, misleading or that infringes another person's rights.

By voluntarily submitting a review, photograph, comment or similar content to LA NUIT, you grant LA NUIT a non-exclusive, royalty-free right to reproduce and display that content in connection with the Website and LA NUIT marketing, subject to applicable privacy and other laws.

We may moderate or remove unlawful, fraudulent, misleading, offensive or irrelevant content.

21. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law.

Nothing in these Terms is intended to exclude liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where applicable, or mandatory liability concerning defective or unsafe products.

To the extent permitted by law, LA NUIT will not be responsible for indirect or consequential losses that were not reasonably foreseeable when the contract was formed.

To the maximum extent legally permitted, liability arising directly from an individual order will not exceed the amount paid for the affected order.

Mandatory consumer rights remain unaffected.

22. EVENTS OUTSIDE OUR REASONABLE CONTROL

LA NUIT will not be responsible for delays or failures caused by circumstances outside our reasonable control.

These may include severe weather, natural disasters, governmental action, war, civil disturbance, epidemics, courier disruption, utility or telecommunications failures, significant cyber incidents affecting third-party services or comparable circumstances.

We will take reasonable steps to minimise disruption where practicable.

Mandatory rights relating to materially delayed or undelivered orders remain unaffected.

23. PRIVACY, COOKIES AND PERSONAL INFORMATION

LA NUIT handles personal information in accordance with our Privacy Policy and applicable data-protection requirements.

Our Privacy Policy explains how personal information is collected, used, stored and shared, including information concerning:

• Shopify and ecommerce services;

• payment providers;

• fulfilment and delivery providers;

• cookies and similar technologies;

• analytics;

• marketing and advertising;

• international data processing;

• data retention; and

• customer privacy rights.

24. CHANGES TO THESE TERMS

LA NUIT may update these Terms from time to time for legal, regulatory, operational, security or commercial reasons.

The Terms applicable when an order is placed will normally govern that order.

The “Last Updated” date at the top of this page identifies the latest published version.

25. SEVERABILITY AND WAIVER

If any provision of these Terms is held to be unlawful, invalid or unenforceable, the remaining provisions will continue in effect.

A delay or failure by LA NUIT to exercise a right does not constitute a waiver of that right.

26. GOVERNING LAW AND DISPUTES

These Terms and purchases made through the Website are governed by the applicable federal laws of the United Arab Emirates as applied in the Emirate of Dubai, without prejudice to mandatory consumer-protection rights.
